B2B Website Terms & Conditions

These Terms and Conditions ("Terms") govern all orders placed through the Santoki, LLC business-to-business website (the "Site") by wholesale, retail, and other business customers ("Customer," "you," or "your"). By registering for an account, placing an order, or otherwise using the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms in full. If you do not agree to these Terms, do not use the Site or place an order.
1. Account Registration
• Access to pricing, ordering, and account features on the Site requires a registered business account approved by Santoki, LLC.
• You must provide accurate, current, and complete business information when registering, and promptly update your account if any information changes.
• You are responsible for maintaining the confidentiality of your account login credentials and for all activity that occurs under your account.
• Santoki, LLC reserves the right to approve, suspend, or terminate any account at its discretion, including for accounts that are past due or in violation of these Terms.
2. Orders
• All orders placed through the Site are subject to acceptance by Santoki, LLC, Auburn Hills, Michigan.
• Orders may be placed directly through the Site by an authorized buyer on the account. Orders may also be submitted in writing to po@santoki.com
• Placing an order through the Site — including by clicking “Place Order,” “Submit Order,” or a similar confirmation — constitutes a legally binding order under the same terms as a signed purchase order.
• Orders for immediate delivery may not be cancelled.
• Orders for later (future-dated) delivery must be cancelled in writing and received by Santoki, LLC at least 15 days prior to the scheduled ship date.
• Orders shipped prior to Santoki, LLC's receipt of a cancellation notice remain the responsibility of the customer.
3. Minimum Order
• Opening order minimum: $275 per shipping destination.
• Reorder minimum: $275 per shipping destination.
• Orders below the applicable minimum are subject to a $20.00 service charge.
4. Pricing
• Prices displayed on the Site are subject to change without notice.
• The price in effect at the time of shipment shall apply, regardless of the price shown at the time the order was placed.
5. Back Orders
• Back orders will be shipped under the same terms as the original order.
• Back orders under $50.00 will be automatically cancelled.
6. Freight & Shipping
• Santoki, LLC will ship orders via its own contract carrier unless the customer specifies a different carrier in writing at the time of order.
• If a different carrier is requested, the customer will be billed for any excess freight charges incurred.
7. Payment Terms
• New customers must provide credit card payment information; contact Santoki, LLC for complete details.
• Santoki, LLC requires a completed and signed credit application on file for all accounts, regardless of payment terms.
• Continuation of credit is contingent on the account remaining current. Credit terms are subject to change without prior notice.
• In compliance with state law, Santoki, LLC requires a resale or tax-exemption certificate on file prior to shipment. A seller's permit, tax registration certificate, sales/use tax permit, or similar document will not be accepted in lieu of a signed resale or tax-exempt certificate.
• Approved accounts receive Net 30-day terms. Accounts without approved credit terms may pay by American Express, Visa, MasterCard, or Discover through the Site or by phone.
• A late charge of 1.5% per month (18% per annum), or the maximum allowed by law if less, will apply to all past-due invoices and balances.
• Orders will not be accepted from accounts beyond terms until the account is brought current; such accounts will be placed on hold status.
• Returned/NSF checks are subject to a $25.00 service charge.
• Authorization for returns cannot be given, and no deductions are permitted, on past-due accounts.
8. Online Payment Processing
• Payments made through the Site are processed via a secure, encrypted payment gateway. Santoki, LLC does not store full credit card numbers on the Site.
• Customer is responsible for ensuring payment information on file is accurate and current.
9. Third Party Marketplace Reseller
• Any unauthorized sales of Santoki, LLC products on Amazon.com or any other online marketplace such as Walmart.com, Target.com, Wayfair.com, etc. will result in a discontinuation of future order fulfillment.
10. Returns & Customer Service
• Returns for defective merchandise or shipping errors must be authorized by Santoki, LLC in advance.
• A 25% restocking fee applies to all non-defective returns, unauthorized shipments, and shipment refusals.
11. Privacy & Data
• Santoki, LLC collects and uses account and order information in accordance with its Privacy Policy [insert link], which is incorporated into these Terms by reference.
12. General
• These Terms are binding on all customers and all orders placed with Santoki, LLC through the Site or otherwise.
• By registering an account or placing an order, the customer acknowledges and accepts these Terms and Conditions in full.
• Santoki, LLC reserves the right to update these Terms at any time; the version posted on the Site at the time of order shall govern.
